Student Enrollment Agreement -- Tutoring Policies

1. Introduction

Thank you for choosing Upgrade Tutors for your tutoring needs! By enrolling in any of our tutoring programs, you agree to the following terms and policies regarding enrollment, payments, session management, conduct, and refunds. Please review this agreement carefully before proceeding.

2. Use of Tutoring Materials & Intellectual Property

All tutoring materials, whether digital or printed, including instructional videos, session transcripts, software, and proprietary methodologies, are the exclusive property of Upgrade Tutors or its licensors.

• Personal Use Only -- You may use these materials solely for your own learning purposes.
• No Sharing -- You may not reproduce, distribute, or share any tutoring content, login credentials, or online resources with others.
• License Limitation -- If tutoring requires the use of software, a temporary, non-transferable license will be granted for the duration of your enrollment.

Unauthorized use of tutoring materials may result in removal from the program without refund.

3. Tutoring Enrollment & Availability

• First-Come, First-Served -- Tutor availability is limited, and scheduling is based on demand.
• Technology Responsibility -- You are responsible for ensuring access to the necessary devices and internet connection required for online tutoring sessions.
• Schedule Adjustments -- We reserve the right to adjust tutor assignments and session schedules based on availability.

4. Payment, Billing, & Financial Terms

4.1 Payment Requirements

• Tutoring sessions require full payment or a deposit at the time of enrollment.
• Accepted payment methods include credit cards, debit cards, and approved installment plans.
• Any applicable taxes, fees, and processing charges will be included in the final payment amount.

4.2 Installment Plans & Late Payments

If you opt for a payment plan, the following conditions apply:

• You must maintain a valid payment method on file throughout your tutoring program.
• Missed or late payments may result in:
  • Suspended access to tutoring sessions.
  • Removal from the program if payments remain outstanding.
  • Referral to a collections agency for unpaid balances.
• You may prepay any remaining balance at any time without penalties.

5. Cancellation, Withdrawal & Refund Policy

We understand that circumstances may require changes to your tutoring schedule. Our refund and cancellation policy is outlined below:

5.1 Refunds for Withdrawals

• If you cancel before attending any tutoring sessions, you will receive a 100% refund of your tuition.
• No refunds will be issued once tutoring sessions have begun.

5.2 Expiration & Forfeiture of Tutoring Hours

• You must begin tutoring within 90 days of enrollment. Failure to do so will result in the forfeiture of any unused hours.
• Unused tutoring hours cannot be reinstated or refunded once forfeited.

5.3 Special Considerations

• If a medical or family emergency prevents you from attending tutoring, contact us with documentation for potential accommodations.
• Refunds do not include shipping fees for physical materials provided.

6. Tutor Scheduling & Session Management

6.1 Tutoring Session Policies

• The total number of sessions depends on the hours purchased and how they are scheduled.
• Sessions may be scheduled in different time blocks (e.g., 1-hour, 2-hour increments).
• If you exceed your purchased tutoring hours, you will be charged at the standard hourly rate for additional time.

6.2 Cancelling or Rescheduling Sessions

• You must provide at least 24-hour notice to cancel or reschedule a tutoring session.
• If you fail to cancel in time, the session will count as used.
• If a tutor cancels within 24 hours, you will receive a complimentary session of equivalent duration.

6.3 Tutor Reassignment

• If you are not satisfied with your tutor, notify us before your second session, and we will reassign a tutor at no extra cost.

7. Program Modifications & Tutor Availability

In rare cases, we may need to make changes to tutor assignments or schedules:

• If Upgrade Tutors cancels your tutoring program, you will receive a full refund of all payments made.
• If a tutor becomes unavailable and we cannot provide a replacement, we will offer either:
  • A full refund of unused tutoring fees, OR
  • An alternative tutor placement if available.
• If you receive tutoring materials before cancellation, they must be returned within 14 days, and Upgrade Tutors will cover return shipping.

Refunds for cancellations under this policy will be processed within 30 business days.

8. Student Conduct & Dismissal from Tutoring

We expect students to maintain professionalism and respect during all tutoring interactions.

• The following behaviors may result in removal from the tutoring program without refund:
  • Use of offensive language, threats, or disruptive behavior.
  • Failure to pay tuition or installment fees by the required deadlines.
  • Violation of Upgrade Tutors's policies regarding the use of online tutoring tools and materials.

9. Limitation of Liability & Disclaimer

9.1 General Liability

Upgrade Tutors is not responsible for indirect or consequential damages arising from tutoring services.

• We do not guarantee specific score improvements, admissions results, or outcomes unless explicitly stated in a program-specific score guarantee.
• If your tutoring program includes a score guarantee, Upgrade Tutors will honor the terms and conditions outlined in that specific guarantee.
• Our total liability is limited to the amount paid for tutoring services.

9.2 Artificial Intelligence & Data Disclaimers

• Upgrade Tutors disclaims liability for any AI-generated content, tutoring tools, or recommendations.
• This includes:
  • Unexpected biases, errors, or security risks in AI-driven tutoring features.
  • Intellectual property disputes related to AI-generated tutoring materials.
• By using AI tools within our tutoring programs, you accept the associated risks.

10. Governing Law & Dispute Resolution

This agreement is governed by the laws of New York State.

• Any disputes must be resolved through arbitration administered by the American Arbitration Association.
• Small claims court may be used for eligible disputes.
• Class action lawsuits are not permitted under this agreement.

11. Acceptance of Terms

By enrolling in an Upgrade Tutors tutoring program, you confirm that:

• You have read and understood the terms outlined above.
• You agree to all conditions, including payment, conduct, and liability policies.
• You are at least 18 years old, or have a parent/guardian's consent if under 18.
